2. Eligibility

3. Account Registration & Security

To access platform features, users must create an account. Account creation requires:

• Keeping your password confidential and secure
• Immediately notifying us of any unauthorized account access

Multiple accounts created by the same user without approval may be terminated. Any account found engaging in fraudulent activities, including shared access or unauthorized resale of materials, may be permanently banned.

Accounts abusing their privilege of site services are subject to immediate account termination, legal action, or further actions. We regularly monitor account security for this purpose.

4. Services Description

Noorify is an AI-powered educational platform that provides the following services:

5. AI Functionality & Disclaimers

Noorify, at its core, is an AI platform. By using Noorify, you acknowledge and agree that:

• AI-generated responses and content may not always be accurate or free of errors
• Your inputs may be used to refine and improve AI models
• Noorify assumes no liability for any misinformation or reliance on AI-generated content
• You will not use AI-generated content for cheating, plagiarism, or academic dishonesty, and that your use of AI is in line with those set by your particular educational institution
• Noorify may store AI interaction data to enhance the quality of its educational resources
• AI-generated summaries, flashcards, quizzes, and explanations should be used as study aids, not as authoritative sources

You are responsible for verifying the accuracy of any AI-generated content before relying on it for academic purposes.

6. Intellectual Property & Content Rights

User-Uploaded Content

You retain ownership of all content you upload to Noorify, including PDFs, PowerPoint presentations, notes, and other materials ("User Content"). By uploading User Content, you grant Noorify a non-exclusive, worldwide, royalty-free license to process, store, analyze, and display your content solely for the purpose of providing our services to you.

AI-Generated Content

All content generated by Noorify's AI systems, including but not limited to summaries, flashcards, quizzes, and explanations ("AI Content"), is the exclusive property of Noorify LLC. You are granted a limited, non-exclusive, non-transferable license to use AI Content for personal educational purposes only.

Platform Content

All other content available on Noorify, including but not limited to the website design, graphics, logos, and software, is the exclusive property of Noorify LLC and is protected under copyright and intellectual property laws.

Prohibited Actions

• Copying, distributing, reproducing, modifying, or creating derivative works of any Platform or AI Content without written permission
• Sharing your account credentials or providing access to our materials to third parties
• Using automated means (such as bots or scrapers) to access or download Content
• Reselling, redistributing, or commercially exploiting any material from Noorify
• Uploading or sharing content that infringes upon intellectual property rights
• Using Noorify's content to train, develop, or generate derivative AI models, tools, or other automated systems

Violation of these terms may result in immediate account termination, legal action, and financial penalties.

7. Payment, Subscription & No Refund Policy

Subscription Plans

Noorify offers the following subscription tiers:

• Free Plan: Limited access to platform features at no cost
• Premium Monthly: $9.99 per month, billed monthly
• Premium Yearly: $59.99 per year (equivalent to $4.99/month), billed annually

Cancellation

You reserve the right to cancel your subscription at any time. If your subscription is set to renew automatically, you must cancel at least 1 day prior to the expiration of the subscription term in order to avoid additional charges. You may continue to enjoy your subscription benefits until that date, after which your subscription will terminate and your account will automatically downgrade. You can cancel your subscription in your account settings.

Refunds

Except where required by law, subscriptions purchased directly through Noorify are non-refundable. We do not provide any refunds if the price for subscription plans drops, or if we offer subsequent promotional pricing or change the content or features of the service.

Payment Processing

Noorify LLC uses Stripe for payment processing. Beyond the details outlined above, any terms of service and policies used by Stripe, Inc. apply to your purchase on Noorify.

8. Price Changes

We may change the price for subscriptions from time to time. Price changes for subscriptions will take effect on the next renewal date following the date of the price change.

As permitted by local law, you accept the new price by continuing to maintain your subscription after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by canceling the subscription prior to the price change going into effect.

We will provide reasonable notice of any price changes through email or in-app notifications.

9. Institutional/School Subscriptions

Licensed subscriptions are available to educational institutions, including schools and school districts. By purchasing a school subscription, the institution agrees to these Terms and ensures that all users, including students and faculty, adhere to them.

If an institution purchases a subscription on your behalf—whether you're a student, teacher, or other authorized user—the same Terms and Privacy Policy apply as if you had purchased the service individually.

Institutional users should refer to their school's specific contractual agreement with Noorify LLC for additional terms and conditions, which can be obtained from your institution's administration.

10. Academic Integrity & Prohibited Activities

Noorify is designed to support learning and studying, not to replace genuine academic effort. By using our platform, you agree to:

• Not use Noorify for cheating: Do not use AI-generated content to complete graded assignments, tests, or exams unless explicitly permitted by your instructor
• Not commit plagiarism: Do not submit AI-generated content as your own original work
• Comply with institutional policies: Follow all academic integrity policies set by your educational institution
• Use responsibly: Use Noorify as a study aid and learning tool, not as a shortcut to avoid learning

Noorify reserves the right to cooperate with educational institutions investigating potential academic integrity violations and may share relevant account activity upon proper legal request.

11. User Conduct

Users must adhere to ethical and legal standards while using Noorify. The following actions are prohibited:

• Engaging in fraudulent, abusive, or unlawful activities
• Interfering with the Website's operation or security
• Using automated systems to input or extract data or content
• Uploading malware, viruses, or harmful software
• Harassing, threatening, or impersonating others on the Website
• Uploading content that is illegal, harmful, or violates third-party rights
• Attempting to gain unauthorized access to other user accounts or system resources

By using Noorify, you agree that:

• Any testimonials or success stories shared by other users do not constitute a promise of similar outcomes
• You remain fully responsible for your own learning outcomes and academic progress

13. Disclaimer of Warranties

All materials on Noorify are provided "as is" without warranties of any kind, express or implied. We do not guarantee that:

• The content is free from errors, inaccuracies, or omissions, nor that it meets your specific learning needs
• The Website will always be available, uninterrupted, or free from issues
• The platform will be completely free of security vulnerabilities, viruses, or other harmful components; however, we employ industry-standard security measures to protect user data

Noorify may also perform routine maintenance, updates, or improvements, which may temporarily limit or disrupt platform access. While we strive to minimize downtime, you acknowledge that:

• Scheduled and unscheduled maintenance may occur, affecting access to study materials and services
• Unforeseen technical issues, server failures, or cyberattacks may impact availability
• Noorify is not liable for loss of data, study progress, business interruption, or any damages resulting from platform downtime

In no event shall our total liability exceed the amount you paid to Noorify in the twelve (12) months preceding the claim.

15. Dispute Resolution & Arbitration

If the dispute cannot be resolved informally within 30 days, it will be settled through binding arbitration under the laws of the State of Indiana.

Arbitration Process

• Arbitration will be conducted in accordance with the American Arbitration Association (AAA) rules
• Each party will bear its own legal fees unless the arbitrator rules otherwise
• The arbitration decision will be final and binding
• Arbitration will take place in Indiana, unless both parties agree to a different location

Class Action Waiver

Users waive the right to participate in class actions or jury trials. All disputes must be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@noorify.ai within 30 days of first agreeing to these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
